Alongside the deal, the land-based casino operator also said it will sell seven of its casino real estate assets to VICI Properties in a sale-leaseback transaction.
The take-private will value the business at $30.00 per share, representing a 40% premium on the company’s closing price on 5 November.

Golden Entertainment board recommends deals
Golden Entertainment said an Independent Committee of the Board of Directors was formed to evaluate the transaction.
This committee unanimously recommended shareholders approve both the take-private and sale-leaseback.
Under the floated deal, the operator will also pay shareholders regular quarterly cash dividends of $0.25 per share until the transaction closes.
